1. Agreement
These Terms of Service ("Terms") govern your access to and use of the Adgo Studios website (adgostudios.com) and the services we provide ("Services"). By using the site or engaging us for Services, you agree to these Terms. If you don't agree, please don't use the site.
"Adgo Studios," "we," "our," or "us" refers to Adgo Studios. "You" refers to the person or business engaging with us.
2. Our services
Adgo Studios is an AI-native marketing studio offering services such as AI-generated visuals and video, website design, ad creative, lead capture and follow-up automation, and ongoing content programs. The specific scope, deliverables, timeline, and pricing for any engagement will be agreed to in writing (proposal, quote, or signed agreement) before work begins.
3. Quotes and estimates
Prices shown on our website and through our estimator are starting estimates intended to give you a clear ballpark. Final pricing for any engagement is confirmed in writing after a brief discovery call and depends on scope, complexity, and any custom requirements.
4. Your responsibilities
- Provide accurate, up-to-date information when you contact us or engage our services.
- Provide content (brand materials, photos, account access, etc.) that we need to deliver the Services in a reasonable timeframe.
- Ensure you have the rights to all content, brand assets, and information you give us.
- Comply with all applicable laws, including any platform terms (Meta, TikTok, Google) where ads will run.
5. Payment
Specific payment terms (amount, milestones, cadence, late fees) are set out in each engagement's proposal or agreement. Unless stated otherwise, recurring services are billed monthly in advance, and one-time setup fees are due before work begins. Failure to pay may result in pausing or terminating Services.
6. Intellectual property
- Our background IP: Adgo Studios retains all rights in our pre-existing methods, templates, tools, code, and know-how.
- Your content: You retain all rights in content, trademarks, and brand assets you provide to us.
- Deliverables: Upon full payment for an engagement, you receive a license to use the final deliverables (videos, ads, website pages, copy, designs) for your business. Unless stated otherwise, Adgo Studios may showcase those deliverables in our portfolio, case studies, and marketing materials.
7. Confidentiality
Each party will keep the other's non-public business information confidential and use it only to perform under our agreement. This obligation survives termination.
8. Third-party services
Our Services may integrate with third-party platforms (e.g., advertising platforms, CRM software, hosting providers). Your use of those platforms is governed by their own terms and pricing. We're not responsible for outages, changes, or actions of third-party platforms.
9. No guarantee of results
Marketing results depend on many factors outside our control, including market conditions, your offer, response times, and platform changes. We use proven strategies and AI tools to maximize your odds, but we do not and cannot guarantee specific outcomes such as lead volume, conversion rates, or revenue.
10. Warranty disclaimer
The site and Services are provided "as is" and "as available." To the maximum extent permitted by law, Adgo Studios disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, Adgo Studios' total liability arising out of or related to these Terms or the Services will not exceed the amount you paid us in the three (3) months immediately before the event giving rise to the claim. In no event will Adgo Studios be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of data.
12. Termination
Either party may terminate an engagement in writing with thirty (30) days' notice, unless a different termination provision is set out in the engagement agreement. You'll pay for any work completed up to the termination date. We may suspend or terminate immediately for non-payment or material breach of these Terms.
13. Indemnification
You agree to indemnify and hold Adgo Studios harmless from any claims, damages, or costs arising out of your content, your products or services, your use of our deliverables, or your breach of these Terms.
14. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Los Angeles County, California, and you consent to that jurisdiction and venue.
15. Changes to these Terms
We may update these Terms from time to time. We'll update the "Last updated" date above. Continued use of the site or Services after changes means you accept the updated Terms.
